Terms for shops
In short. Loop gives your shop a place to post news, offers and events, run a stamp card and see results. You pay a monthly plan, and can add extras. You are responsible for your shop, your posts and the promises you make to customers. We provide the platform as it is, and our responsibility is limited.
1. The parties and what these terms cover
These terms are an agreement between Yone IT Ltd, a company registered in England and Wales (company number [company number]), registered office [registered office address] ("we", "us"), and the business that signs up to Loop for a shop ("you", "the shop"). Loop is run by us under the Custoo name. By creating a shop, subscribing, or using the shop dashboard or the shop side of the app, you agree to these terms, the content policy and the privacy policy.
You confirm that you sign up for the purposes of a business, trade or profession (including as a sole trader), that you have authority to bind the business, and that you are at least 18.
2. The service
Loop lets a shop publish news, offers and events to people who follow it and, where it pays for sponsored placement, to people nearby; run a loyalty stamp card; scan customers' codes; and see how its posts and cards are doing. What is included depends on your plan and extras. We may improve, change or remove features. If we make a change that materially reduces what you have paid for, we will give you at least 30 days' notice, and you may cancel as set out in section 11.
3. Your account and your team
- You are responsible for your shop's account and for everyone you give access to, including managers and team members. Keep sign-in details safe, and remove people who leave.
- Give accurate information about the shop, including its address or postcode (or tell us it has no physical address), and keep it up to date.
- Each owner, manager and team member has a role that decides what they can do. The owner is responsible for the choices of the people they add.
4. Plans, prices and payment
- Plans. The plan, its price, and its allowances (such as news posts per period, engagement budget and reach credits) are shown on the website and in the dashboard before you buy. The Free plan has no charge and smaller allowances.
- Payment. Paid plans and extras are charged through Stripe on the web, by card or another method Stripe offers. By buying, you also accept Stripe's terms for the payment. VAT is added where it applies and shown at checkout.
- Renewal. Paid plans renew automatically each period (monthly) until cancelled. Each period is charged in advance.
- Allowances. Plan allowances belong to the billing period they are for and do not carry over. A news post uses one of the period's news posts when it is published, even if you later delete it. Offers and events do not use news posts: they use the engagement budget.
- Engagement budget. When you publish an offer or event, its maximum number of claims (or its seats) is taken from your engagement budget for the period. The budget is not given back when the offer or event ends, is claimed or used, or after it is deleted, except that if you delete an offer or event within four hours of publishing it, or by the end of that day (UK time), whichever is later, the part nobody has claimed is returned. The number on a published offer or event can be raised (taking the difference from the budget) but not lowered. The budget refills when your plan renews and unused budget does not carry over.
- Reach credits. Plan reach credits are used first and reset each period. Reach credits you buy separately do not expire while your shop remains on Loop.
- Extras. One-off packs (extra news posts, engagement top-ups or reach credits) are charged once, are used after the plan's own allowance, and do not expire while your shop remains on Loop. The monthly engagement extra is added to your subscription, adds to each period's engagement budget and renews with it. It needs a paid plan.
- Changes. If you move to a higher plan or add an extra, the change takes effect at once and you are charged the part-period difference now. If you move to a lower plan, remove an extra or cancel, it takes effect at the end of the current period; you keep what you paid for until then.
- No refunds. Charges are non-refundable, including for unused allowances or part periods, except where the law says otherwise or where we have made a mistake.
- Price changes. We may change prices for future periods by giving at least 30 days' notice. If you do not agree, cancel before the change takes effect.
- Late or failed payment. If a payment fails, we may limit paid features or move your shop to the Free plan until it is paid.
5. Your content
- You own what you post (text, pictures, videos, logos). You give us a free, non-exclusive licence to store, copy, resize, display and distribute it through Loop (including to followers and, where you pay for it, nearby people) for as long as it is on Loop, and to keep records as the law requires.
- You promise that you have all the rights needed to post it (including photos, music in videos and the consent of people shown), that it is accurate, and that it follows the content policy and the law.
- We may refuse, edit the display of, or remove any post, campaign or shop that we reasonably think breaks these terms or the content policy, or is unsafe, misleading or unlawful, or if we receive a valid complaint. We will tell you why where we can, but we may act first where needed.
6. Your promotions are your responsibility
When you post an offer, event, price, loyalty programme or reward, you are making a promise to customers. You alone are responsible for it: for its accuracy; for honouring it as posted; for stock, capacity, safety and quality; for the law that applies to your goods and services, pricing and promotions (including consumer protection, advertising, age-restricted goods, food and event licensing and any prize-promotion rules); and for dealing with customers' complaints. We are not a party to any sale, event or promotion between you and a customer, and we do not review or endorse them.
- Offer, event and reward codes are redeemed only by staff of the shop that issued them. Customers' stamps and rewards are held in a card tied to your shop; if you change or end a programme, you remain responsible for treating customers fairly about stamps and rewards already earned.
- You decide who may scan codes at your counter. Scans and redemptions are recorded; you are responsible for them.
7. Advertising and sponsored placement
With a paid plan or credits, you may promote a post to people near your shop. These extra rules apply:
- Sponsored posts must follow the content policy and the law on advertising, must be about the shop and match what it actually offers, and must not mislead.
- We may review, refuse or stop any campaign at any time. Placement, timing and the audience are chosen by Loop's system within the radius and limits you set.
- Reach credits are used when a nearby person is shown the post and has it in view for the minimum time we use to count a view. Reach and view figures are measurements made by Loop; we do not guarantee any number of views, visits, sales or other results, and figures may be corrected.
- If a campaign is stopped by us because of a breach by you, credits used are not refunded. If we stop one without a breach by you, we will restore the unused credits.
8. Customer information and data protection
Shops see their customers' names and what those customers do with the shop (following, claims, registrations, stamps and rewards), but not their email addresses or locations. For that information, you are an independent controller under UK data protection law, and so are we for our own purposes. You must:
- use it only to run your own offers, events and loyalty programme on Loop, and to serve those customers;
- not copy, export, sell or combine it with other lists, or use it to contact customers outside Loop, unless you have a lawful basis and the customer has agreed (for example consent for marketing);
- keep it secure, limit access to those who need it, and delete it when you no longer need it; and
- handle any request from a customer about the information you hold, and tell us promptly if you think there has been a breach affecting Loop customers.
We process your own business and account information as described in our privacy policy.
9. Availability and support
We aim to keep Loop available but provide it "as is" and "as available". We do not promise uninterrupted or error-free service, a particular speed, or that data will never be lost, and we may take Loop down for maintenance. We provide support by email at loop@custoo.co.uk on working days, with no guaranteed response time. You are responsible for your own records of anything that matters to your business.
10. Intellectual property
Loop, its software, design and the names Custoo, Loop and Yone belong to or are licensed to Yone IT Ltd. "Yone" is a registered trade mark. You may use Loop for your shop as these terms allow. Do not copy, reverse engineer, resell, or build a competing service from Loop, or use our names or logos without our written permission, except to say that your shop is on Loop.
11. Ending the agreement
- By you. You can cancel your plan at any time in the dashboard, and it ends at the end of the paid period. You can delete your shop and your account at any time (Account in the dashboard, or Profile in the app). Deleting a shop deletes its posts, loyalty programme, cards and campaigns, cancels any subscription at once and cannot be undone. There is no refund for the remainder of a paid period.
- By us. We may suspend or end your access immediately if you materially or repeatedly break these terms or the content policy, if a payment is not made, if the law requires, or if continuing would put customers, Loop or others at risk. We may end the service to a Free plan shop on 30 days' notice. If we end a paid plan other than for your breach, we will refund the unused part of the period.
- What happens next. Your shop's posts stop being shown. We delete or anonymise the shop's data as set out in the privacy policy, but keep what we must for accounts and legal claims. Anything that by its nature should continue (including sections 5, 6, 8, 12 and 13) continues.
12. Our responsibility
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that:
- we are not responsible for any loss of profit, revenue, sales, customers, goodwill, opportunity or data, or for any indirect or consequential loss, however it arises;
- we are not responsible for what customers, other shops or other third parties do or fail to do, for the result of any post, offer, event or campaign, or for any claim about your goods, services or promotions;
- we are not responsible for failures of payment providers, hosting, networks, phones or other services outside our reasonable control; and
- our total responsibility to you for everything arising from or connected with these terms and Loop, whether in contract, tort (including negligence) or otherwise, is limited to the amount you paid us in the three months before the event that gave rise to the claim, or £100 if that is higher.
You will cover us (and our directors, staff and suppliers) for claims, losses and costs arising from your content, promotions, goods or services, your breach of these terms or the law, or your misuse of customer information, to the extent the law allows.
13. General
- Changes to these terms. We may update these terms. We will give at least 30 days' notice of a change that matters, by email or in the dashboard. If you do not agree, you may cancel before it takes effect; if you keep using Loop afterwards you accept it.
- Notices. We may give notice by email to the address on your account or in the dashboard. You may give notice to loop@custoo.co.uk.
- Events outside our control. We are not in breach of these terms for delay or failure caused by something outside our reasonable control.
- Transfer. You may not transfer your rights or obligations without our written consent. We may transfer ours to another company that takes over Loop.
- The whole agreement. These terms are the whole agreement about Loop between us and replace anything said earlier. If part is unenforceable, the rest still applies. If we do not enforce a right straight away, we may still do so later. No one else may enforce these terms.
- Governing law. These terms, and any dispute or claim arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
